    I. Scope of Arbitration

    i. Any dispute, claim, or controversy arising out of or relating to these Terms, the interpretation or validity thereof, your use of Imagine Education’s services, or any other matter between you and Imagine Education (collectively, “Disputes”) shall be resolved exclusively through binding arbitration.

    ii. By agreeing to these Terms, you explicitly waive your right to bring any Disputes before a court of law, other than small claims courts as may be provided for under applicable law or as explicitly stated herein.

    II. Governing Law and Venue

    i. Arbitration shall be conducted in accordance with the laws of the United Kingdom, without regard to its conflict-of-law principles.

    ii. Unless the parties agree otherwise, the seat (legal place) of the arbitration shall be in the UK, and the language of the arbitration shall be English.

    III. Individual Basis Only; Class Action Waiver

    i. All Disputes must be brought on an individual basis. By using Imagine Education’s services, you expressly waive your right to participate in a class action, collective action, or any other representative proceeding against Imagine Education.

    ii. The arbitrator has no authority to consolidate claims of multiple individuals or entities or to preside over any form of a representative or class proceeding.

    IV. Binding and Final Award

    i. The decision of the arbitrator is final and binding on the parties. Any court of competent jurisdiction may enter judgment on the arbitrator’s award.

    ii. The arbitrator’s award may include monetary damages and any other remedies allowed by applicable law, but may not include any order or remedy extending beyond the individual dispute.

    V. Severability of Arbitration Terms

    i. If any portion of this arbitration agreement is deemed unenforceable or invalid under applicable law, the remaining provisions shall still be enforced to the fullest extent permissible.

    ii. If a court or arbitrator finds that class action limitations or any other central component of this arbitration clause is unenforceable, then the entirety of the arbitration clause may be deemed void, and the Dispute may proceed in court.

    14.2 Governing Rules

    I. Applicable Arbitration Rules

    i. The arbitration shall be administered by a recognized arbitration institution in the UK (e.g., the London Court of International Arbitration, or another institution agreed upon by the parties) in accordance with its then-current rules and procedures.

    ii. In the event of any conflict between this arbitration agreement and the chosen institution’s rules, the terms of this arbitration agreement shall prevail.

    II. Appointment of Arbitrator

    i. The arbitration shall be conducted by a single, neutral arbitrator. If the parties cannot agree on an arbitrator within a reasonable time, the arbitration institution will appoint one in accordance with its rules.

    ii. The arbitrator must be impartial, have no personal or financial interest in the Dispute, and be qualified to rule on the subject matter of the Dispute.

    III. Cost Allocation

    i. Each party is responsible for its own arbitration-related costs, including legal fees, filing fees, and hearing fees, unless the applicable arbitration rules or the arbitrator’s decision mandates otherwise.

    ii. The arbitrator may, at their discretion and where allowed by law, award the prevailing party its reasonable attorneys’ fees and costs, taking into account the circumstances of the case.

    IV. Confidentiality of Proceedings

    i. Except as otherwise required by law, the arbitration proceedings, all related documents, and any final award shall remain

    confidential and shall not be disclosed to third parties without the express written consent of both parties.

    ii. This confidentiality obligation shall not prevent either party from submitting the final award to a court of competent jurisdiction to enforce the award.

    V. Limited Court Review

    i. Courts’ review of an arbitration award is typically restricted by law. The parties agree that they will not seek a broader review of the arbitrator’s decision than is permitted under UK arbitration statutes.

    14.3 Exceptions and Additional Provisions

    I. Small Claims Court Option

    i. If your Dispute qualifies for small claims court under relevant jurisdictional thresholds, you may choose to pursue a claim in small claims court rather than through arbitration. However, this option is available only so long as the claim remains in small claims court and does not seek a broader remedy or higher damages than permitted.

    II. Injunctive or Equitable Relief

    i. Notwithstanding anything to the contrary, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent an immediate or irreparable harm, such as breach of confidentiality or infringement of intellectual property rights, without first engaging in arbitration.

    III. Survival of Agreement

    i. This arbitration agreement survives the termination or expiration of your relationship with Imagine Education and remains binding for any Dispute that has not yet arisen or that arises after the termination or expiration of these Terms.

    IV. Legal Advice

    i. Nothing in these Terms should be construed as legal advice. You are free to consult with an attorney to understand your rights and obligations before agreeing to binding arbitration or pursuing any legal remedies.

    By using Imagine Education’s services, you acknowledge that you have read, understood, and agreed to this Dispute Resolution and Binding Arbitration section, including the class action waiver and the requirement that Disputes be resolved through binding arbitration under UK laws. If you do not consent to these provisions, you must discontinue your use of our services immediately.

  1. Termination of Services and Accounts

    15.1 Grounds for Suspension or Termination

    I. Violation of These Terms

    i. Imagine Education reserves the right to suspend or terminate user accounts, without prior notice, if a user violates any provision of these Terms, including (but not limited to) breach of the Code of Conduct, misuse of intellectual property, or non-payment of fees.

    II. Misuse of Services

    i. Activities considered misuse of our services may include, but are not limited to:

    a. Unauthorized sharing or distribution of copyrighted course materials.

    b. Attempted hacking or unauthorized access to Imagine Education’s systems or third-party platforms.

    c. Disruptive behavior toward instructors, staff, or other users.

    ii. Based on the severity of the conduct, Imagine Education may issue warnings, restrict certain features, or proceed with account suspension or termination.

    III. Compliance with Legal Requirements

    i. Imagine Education may also suspend or terminate an account if required to comply with applicable laws, regulations, court orders, or requests by government agencies.

    ii. If account activity is suspected to be related to fraud, money laundering, or other unlawful acts, we may immediately restrict access and investigate as permitted or required by law.

    IV. Inactive Accounts

    i. At Imagine Education’s discretion, accounts that remain inactive for a prolonged period (e.g., 3 months or longer) may be subject to suspension or deletion to maintain platform efficiency.

    ii. Users will typically be notified before such an action is taken, allowing them the opportunity to reactivate or retrieve their data.

    15.2 User-Initiated Termination

    I. Account Closure Request

    i. Users may terminate their accounts at any time by submitting a written request via email to: [email protected]

    ii. The email should include your account details (e.g., registered email address or username) and a clear statement of intent to close the account.

    II. Effective Date of Termination

    i. Account closure requests will be processed within a reasonable timeframe, typically within 5–7 business days after receipt.

    III. Final Billing and Payment

    i. Users remain responsible for any outstanding fees or charges incurred prior to the termination date. No further charges will be applied after the effective date of termination unless explicitly stated in these Terms (e.g., unpaid balances on installment plans).

    15.3 Consequences of Termination

    I. Revocation of Access

    i. Upon suspension or termination—whether initiated by Imagine Education or by the user—all access to paid services, course materials, certifications, and related offerings will be immediately revoked.

    ii. Users will not be able to log in or retrieve any materials associated with the terminated account, except where required by applicable laws or regulations.

    II. Outstanding Payments

    i. Any unpaid fees for services accessed prior to the termination date remain due and payable. Imagine Education may use available channels, including collection agencies or legal action, to recover any outstanding amounts.

    ii. If your account is suspended or terminated for violation of these Terms, you may not be eligible for refunds, credits, or other compensation, consistent with our No Refund Policy.

    III. Forfeiture of Benefits

    i. Users forfeit all benefits, progress, and entitlements associated with their account, including course completion statuses, digital badges, or promotions.

    ii. Any complimentary or promotional access granted to the user will also be terminated immediately and cannot be reactivated unless otherwise stated by Imagine Education.

    IV. Data Retention and Removal

    i. Imagine Education may retain certain personal data or user-submitted content as required by law or according to our

    ii. After termination, user-generated content (e.g., forum posts, reviews) may remain on the platform if it is deemed valuable for the community or for operational purposes, unless removal is requested and legally permissible.

    V. Restrictions on Future Use

    i. If your account is terminated for violating these Terms, you may be barred from creating a new account or accessing Imagine Education’s services in the future. Attempting to circumvent these restrictions (e.g., by registering with a different email address) may result in further legal or technical enforcement measures.

  1. Modifications to Terms and Services

    b. Use or Misuse of Services: Your access to or usage of Imagine Education’s courses, platforms, or other offerings, including any unauthorized or unlawful conduct by you or anyone using your account.

    c. Violation of Law or Rights: Your breach of any applicable laws, regulations, or third-party rights (including but not limited to intellectual property rights, privacy rights, or publicity rights).

    d. User-Submitted Content: Claims that any content you submit, post, or share via Imagine Education’s services (e.g., forum posts, reviews, feedback) infringes upon or misappropriates the rights of any third party.

    II. User Responsibilities

    i. Prompt Notification: You agree to promptly notify Imagine Education in writing of any claim, demand, or legal proceeding subject to indemnification under this Section.

    ii. Defense of Claims: You may be required to assume the defense of such claims at your expense. However, Imagine Education reserves the right to participate in the defense and control of any such matter at its own expense.

    a. Natural Disasters: Floods, hurricanes, earthquakes, or other acts of nature.

    b. Governmental Actions: War, military operations, civil unrest, embargoes, or official directives.

    c. Labor Disruptions: Strikes, lockouts, or labor shortages.

    d. Infrastructure Failures: Power outages, telecommunication breakdowns, or disruptions to internet service.

    e. Technical or Software Failures: System crashes, server downtime, malicious cyberattacks, ransomware, or other unauthorized intrusions.

    f. Pandemics, Epidemics, or Widespread Illness: Government-imposed travel bans, quarantines, or other public health measures.

    II. Exclusion of Liability

    i. If Imagine Education is unable to perform or is delayed in performing any of its obligations under these Terms due to a

    Force Majeure Event, we shall not be liable for any loss, damage, or inconvenience resulting from such failure or delay.

    ii. This limitation of liability applies even if the Force Majeure Event was foreseeable, so long as it was beyond Imagine Education’s reasonable control and efforts to mitigate the event’s impact were made.

    III. Notification and Mitigation

    i. In the event of a Force Majeure occurrence, Imagine Education will make reasonable efforts to:

    a. Notify Affected Users: Provide timely updates via email, SMS, or platform announcements regarding the nature of the event, its impact on services, and any actions being taken.

    b. Mitigate Disruptions: Implement all commercially reasonable measures to minimize the impact on user access and service continuity, such as rerouting traffic, employing backup systems, or temporarily relocating resources.

    IV. Resumption of Obligations

    i. Imagine Education will resume performance of the affected services as soon as reasonably possible once the Force Majeure Event has been resolved or its effects have been mitigated to a manageable degree.

    ii. Users acknowledge that some delays or modifications in service offerings may be necessary to ensure safe, secure, and compliant operations during or after a Force Majeure Event.

    V. User Responsibilities

    i. To the extent users are impacted by a Force Majeure Event (e.g., local internet outages, power failures, or travel restrictions), Imagine Education assumes no responsibility for a user’s inability to access or utilize services during such disruptions.

    ii. Users should independently arrange for backup systems or alternative solutions, where feasible, to minimize the potential impact of a Force Majeure Event on their own operations and learning activities.

    VI. Termination Rights

    i. If a Force Majeure Event continues for a prolonged period (e.g., 30 days or more) and significantly impedes Imagine Education’s ability to fulfill its obligations, either party may terminate the affected services without penalty, upon providing written notice to the other party.

    ii. Such termination does not absolve the user of any fees or obligations incurred prior to the effective date of termination, except where otherwise stated in these Terms.

    II. Forum Selection

    i. In the event that any Dispute is not subject to, or is exempted from, the Dispute Resolution and Binding Arbitration provisions outlined in these Terms, such Dispute shall be submitted to the exclusive jurisdiction of the courts of the United Kingdom.

    ii. You expressly consent to the jurisdiction of these courts and waive any objections based on venue, convenience, or forum non convenience to the fullest extent permitted by law.

    i. Any final judgment rendered by the UK courts or through arbitration (where applicable) may be enforced in any other jurisdiction, provided that the enforcement does not conflict with that jurisdiction’s local laws or public policies.

    ii. Users agree to cooperate fully in providing any documentation or consents required for the recognition and enforcement of such judgments.

    V. Survival of Provisions

    i. All provisions in these Terms relating to governing law, jurisdiction, and dispute resolution shall remain binding even if your account is terminated or if you cease using Imagine Education’s services for any reason.

    ii. This agreement supersedes all prior or contemporaneous understandings, communications, and proposals—whether written or verbal—regarding the subject matter of these Terms.

    II. Incorporation of Related Policies

    i. References to policies, guidelines, or other documents within these Terms indicate that they are integrated and form a binding part of the overall agreement.

    ii. In the event of a conflict between these Terms and any additional policies (e.g., a Refund Policy or Code of Conduct), the specific policy provisions shall take precedence solely with regard to that conflict, unless otherwise stated.

    III. No Oral Waivers or Modifications

    i. Any modifications or waivers to the provisions of these Terms must be provided in writing and signed or otherwise authorized by an officially designated representative of Imagine Education.

    ii. Verbal assurances, email threads, or unverified statements do not amend or override these Terms unless expressly included via a formal written or digital agreement.

    IV. Severability of Provisions

    i. If any clause, sentence, or provision of these Terms (or any part thereof) is determined to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that portion shall be deemed modified or, if necessary, severed to the minimum extent required to render it valid and enforceable.

    ii. The remaining provisions of these Terms will continue in full force and effect, preserving the overall intent and enforceability of the agreement.

    V. Surviving Obligations

    i. Certain obligations and provisions may, by their nature, continue to apply even after the termination or expiration of this agreement. Examples may include disclaimers of warranty, limitations of liability, dispute resolution terms, and indemnification obligations.

    ii. These obligations shall survive any finding of unenforceability related to a separate provision within these Terms.

    VI. Hierarchy and Priority

    i. In the event that Imagine Education releases additional service-specific or region-specific terms, those will be considered an extension of these Terms and will take precedence only within the scope of the specific service or region.

    ii. If there is a direct and irreconcilable conflict between these general Terms and any more specialized terms, the specialized terms will control solely in relation to that specific conflict.
